Terms and Conditions for Audience with Charisma Limited
We believe in communicating our terms and conditions of business in a clear and concise format so that our valued clients and prospective clients understand our commercial requirements upfront. We believe in treating our clients, suppliers, associates and attendees in the way we like to be treated ourselves. We aim to deliver what we do best for a fair and commercial rate. If you think we can improve upon the way we are doing business with you then please let us know. We view all feedback as an opportunity to improve our business. As a small organisation we pride ourselves on being responsive to our clients’ requirements and seek a collaborative and win-win relationship.
- Pricing Policy
We undertake to provide you with a quotation in writing for the scope of services you are looking to contract us for. In the event of changes to the initial scope of services, we will provide you with a revised quotation. We commit to maintaining our quoted prices for a period of 3 months from the quotation date.
- Price, Payment and Currencies for online Shop
All digital products purchased will include Sales Tax/VAT at 20% if applicable. You shall be responsible for any other taxes applicable in the territory to which the services are sent.
Payment must be made by credit card, debit card or PayPal at the time of placing an order. Payment in full will be taken at this time and a contract will be in force.
You warrant that all details provided to us for the purpose of your order and its delivery will be correct and that your chosen method of payment is our property and that sufficient funds or credit facilities are available to cover the full cost of the products/services ordered. We reserve the right to obtain validation of your credit /debit card or PayPal details before accepting your order. You may cancel your order at any time prior to despatch by contacting us by email to email@example.com.
- Invoicing Schedules
So that you can plan when to expect our invoices, we will raise invoices at the times specified and for the following amounts, once we receive written confirmation and/or a Purchase Order from your organisation to proceed:
In-house programmes: 50% of project value upon project confirmation and is non-refundable with outstanding 50% due at the conclusion of the project.
100% of Nikki Owen’s Speaker/Masterclass fee will be invoiced upon client confirmation and is non-refundable
Open programmes and online products are all payable in full in advance.
All prices quoted are exclusive of VAT that will be added at the current rate where applicable. You shall be responsible for any other taxes applicable in the territory to which a) the Products are sent and b) the services are delivered.
- Expenses and Venue Costs
All prices quoted are exclusive of travelling, accommodation, subsistence and venue costs. These will be itemised separately. Mileage will be charged at 45p per mile. Business Class train and air travel will be charged at cost. Hotel accommodation based on a minimum 3 star standard unless agreed with us in writing. Subsistence will be chargeable at £35 per person per night. In the event of us holding an event at a venue that we have booked then the cost of this venue including meals/refreshments and accommodation (if required) will be agreed with you and itemised separately on our invoices. Expenses incurred for each stage of the contracted service will be invoiced at the completion of each stage.
- Payment Terms of our Invoices
Please pay us within 30 days from the date of our issued invoices, unless otherwise agreed by us in writing. We accept payment by BACS. If payment is not made by the due date we reserve the right to charge interest at 5% per year over bank base rate, from the date payment is due to the date payment is received by us. We also reserve the right to claim statutory compensation for debt recovery costs plus all admin costs we may incur, including letters, phone calls and drafting summons.
Because of the unique set of skills required to deliver our services combined with our high quality standards we usually require a minimum of 3 months notice to deliver in-house charisma programmes. We promise to communicate our availability in a clear and prompt manner and will endeavour to provisionally hold ‘reserved’ dates for 14 days. A programme or booking is only confirmed at the point we are able to invoice our 50% confirmation fee.
- Cancellation Policy
50% of the programme/project value will be invoiced upfront as a cancellation fee and is non-refundable.
In the event that a programme/project is cancelled, further cancellation fees will apply:
8 weeks from programme (on-site event) start date – no further cancellation fee is payable (50% in total)
4 weeks from programme (on-site event) start date – an additional 10% cancellation fee is payable (60% in total)
2 weeks from programme (on-site event) start date – an additional 40% cancellation fee is payable (90% in total)
Cancellation fees will be invoiced immediately upon receipt of the cancellation and payment will be required within 30 days of the date of invoice.
If you define any information you give us as confidential, we will not disclose it without your approval unless the information is or becomes public knowledge, or we are required to disclose it in accordance with Court Order and statute. This confidentiality will extend to our employees, our associates and our suppliers.
When you contract us to deliver Charisma Coaching sessions for people within your organisation, please be aware that we will not disclose anything about these sessions to you or anyone else within your organisation unless we have received written confirmation from the recipient of the session that they are happy for us to do so.
Any data provided by you as part of the delivery of our contracted service will be treated as confidential by ourselves and will not be shared, shown or disclosed to third parties except to the extent necessary for us to deliver our contracted service(s).
All personal data provided by you will be processed and stored in accordance with Data Protection Act 1998.
- Intellectual Property
The materials, processes and diagrams used within our charisma programmes and keynotes remain under the ownership of Nikki Owen and Audience with Charisma Limited. The following models/diagrams/processes cannot be used, circulated or adapted without prior permission from us in writing:
The Charisma Model, The Symbol of Star Quality, The Energy Compass, The Game of Life, The Self-Esteem Gift Box Exercise, The Power Pebble Process, Transcendental Drivers Exercise, The STAR Model, The Metaphor Reality Method, The Relationship Resolution Process, Online Charisma Profiling Tool, Cellular Silo Process
Some members of The Charisma Team are contracted as Associates rather than employees. All Associates are trained and accredited in our methods, techniques and processes and attend regular development sessions with us.
We accept it is our responsibility to ensure that all our Associates have the relevant skills to meet high standards of delivery.
Each of our Associates has been issued with an agreement that states the basis of the working relationship and prohibits them from working directly with any of our clients unless we have given them our permission.
- Working at Your Premises
Please tell us about any rules and regulations regarding health and safety within your premises. We will ensure that any employees, associates or sub-contractors will be instructed to comply with your health and safety requirements.
Our services are provided to the best of our ability and we offer a unique warranty relating to the initial pilot for the Charismatic to the Core Programme about its effectiveness. This warranty is based on the results shown from the surveys conducted before and after the Charismatic to the Core Programme and states that if the overall report does not achieve an improvement in a minimum of 50% of the areas measured across the pilot group, then you have the right to request a refund for the cost of the pilot programme excluding expenses. Please email us your request for a refund within 14 days from receiving your overall report. This warranty only applies to your first pilot for the Charismatic to the Core Programme and is designed to reassure you around our programme’s impact.We warrant that we will: Supply everything necessary for the performance of our obligations under these terms. We commit to supplying whatever level of resource is required and agreed between both our organisations to deliver high standards of service excellence. Ensure all materials we provide for the purposes of delivering out contracted services will remain accurate. Not infringe the Intellectual Property Rights of a third party during the delivery of contracted services. Adhere to and comply with the provisions of the Bribery Act, 2010.

Employers Liability Insurance for ten million pounds (£10,000,000) with ACE European Group.
Public and Products Liability Insurance for two million pounds (£2,000,000) with ACE European Group.
Professional Indemnity Insurance for one million pounds (£1,000,000) with Hiscox.
Copies of our insurance policy certificates are available upon request.
- Concerns and Issues
We are passionate about delivering our services in a way that delivers a tangible and positive impact for you as an individual and for your organisation. If we have not exceeded your expectations or you have any concerns regarding our team or our products/services then please contact us by email firstname.lastname@example.org within 7-days of your concern arising. We will endeavour to address your concerns within 21- days. We are committed to ensuring that we do whatever it takes for you and/your organisation to continue our business relationship.
- Immediate termination of our business relationship will occur if either you, your organisation or we breach any of your agreed terms and conditions that have been agreed by us in writing. Or you, your organisation or our organisation becomes insolvent, ceases to trade, enters into liquidation whether compulsory or voluntarily, has an encumbrancer take possession of assets. Outstanding contracts for services cannot be re-assigned or transferred without agreement by both organisations

- Returns If you are not happy with your Audience with Charisma limited purchase online you can return it to us in its original condition and packaging within 28 days of the date of receipt. No refunds or exchanges will be given if products have been opened and/or used and are not returned complete with all original packaging and receipts, etc.
- You must inform us here at firstname.lastname@example.org of your return order before sending any products back to us, to prevent the delay of the refund process. Providing all items are returned unopened, complete with all original packaging and receipts, we will be able to process a refund excluding delivery charges, and a 15% restocking fee which will be credited to your account as soon as we have received and checked the returned product. This process will take approximately 5-10 working days to complete we have received all goods.
